... at last year's convention, the BOD announced at the club's annual meeting that they were expanding the BOD by adding the club counsel as a non-voting Board Member. The minutes will reflect that I challenged their authority to do so ... nothing personal against Eric ... but my challenge was that the BOD is comprised of FIVE, not SIX, members per the Constitution. This ammendment if passed will now make it legal.

BTW: I have the highest regard and respect for Eric Rosenblum and my objection last year was no personal reflection upon Eric, or his past role as general counsel and his valuable legal contributions to the club. My objection was to the Board action that I felt they did not have the authority to make this change to expand the Board unilaterally without ammending the club's Constitution.

I support the proposed ammendment as written.
