If you want to be technical, you have left out several elements of fraud. First, are you discussing criminal or civil fraud. Second, civil fraud can include fraud by omission and always requires an intent to defraud. Not to mention damage. I don't really want to be technical, and may have left some things out. I know you did.
I always thought you were a CPA. Are you an attorney?
