Every corporation is guided by its Constitution (aka Articles of Corporation) and By-Laws. The Constitution defines the structure of the organization and the responsibilities of the officers. The CCGTCC Constitution specifically states that the constitution can only be changed by 2/3 vote of the membership. The legal address of the CCGTCC, and the state laws that it must abide by, are specified in the Constitution. In order to change the location, it should have first been approved by the membership according to the constitution. The By-Laws, which are more like operating policies, can be changed by the BOD without membership approval. For instance, the BOD on its own can determine when and where the convention will be held, they can determine membership fees, they can determine most everything about how the CCGTCC operates. But to change something that is defined in the constitution, it is a membership decision. If it were not that way, the BOD would have unlimited power to do as they please without any accounting to the membership, for instance ... all BOD members get a two week vacation in Hawaii. There needs to be checks and balances, this is a membership organization and the BOD is accountable to the membership as specified in the constitution.
