exchanging cash on floor with other collectors

I hesitate to bring this up, but I guess I learned something reading a thread below. I did not know it was against the rules to buy a chip from a non-dealer on the show floor at convention. Lets say you sell your buddy a high end chip over the phone a couple weeks before convention. He wants to pay in cash and you decide to meet at the show and consumate the transaction. Did you both break the rules? Should you go to the restroom to complete the transaction? I've always been a little leary about handing another guy money in the mens room! Where is this rule written? Who made this rule and when?
